This User Agreement (“Agreement”) is between you (the “User”) and Sprue, and governs your individual use of the Sprue ERP platform (the “Service”). It supplements the Terms of Service, which apply to the workspace (tenant) you belong to. If there is a conflict between this Agreement and the Terms of Service, the Terms of Service control.
1. Eligibility
You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to the Terms of Service.
2. Your Account
- Keep your login credentials confidential. You are responsible for activity that occurs under your account.
- Notify us promptly at [email protected] if you suspect unauthorized access.
- Do not share your account with others. Each user must have their own account.
- Provide accurate profile information and keep it up to date.
3. Workspace Membership
Your access to a workspace is granted and may be revoked by the workspace owner or an administrator. The workspace owner controls roles, permissions, and the data you can access. When you leave or are removed from a workspace, your access to that workspace's data ends immediately.
4. Acceptable Conduct
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Upload content you do not have the right to share, including personal data of others without a lawful basis.
- Attempt to access workspaces, accounts, or data you have not been authorized to view.
- Probe, scan, or test the vulnerability of the Service without prior written permission.
- Use the Service to send spam, malware, or otherwise interfere with other users.
5. Content You Provide
Any data, files, or content you submit through the Service (“Content”) belongs to you or the workspace you are acting on behalf of. You grant Sprue a limited license to host, store, transmit, and display the Content as necessary to operate the Service. You are responsible for the accuracy and legality of the Content you submit.
6. Privacy
We process personal data as described in our privacy practices. Within a workspace, the workspace owner is the controller of business data; Sprue acts as a processor. Do not submit sensitive personal data (such as government IDs or health data) unless your workspace has been configured for it.
7. Notifications
By using the Service, you agree to receive operational communications such as security alerts, billing notices, and workspace invitations at the email address associated with your account. You may control non-essential notifications in your account settings.
8. Suspension and Termination
We may suspend or terminate your individual access if you violate this Agreement, the Terms of Service, or if your account poses a security or legal risk. You may close your account at any time; workspace data created by you may remain in the workspace under the workspace owner's control.
9. Changes
We may update this Agreement from time to time. If changes are material, we will notify you through the Service or by email. Continuing to use the Service after the changes take effect means you accept the updated Agreement.
