Welcome to Sprue. These Terms of Service (“Terms”) govern your access to and use of the Sprue ERP platform, including the web application, APIs, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms and to our User Agreement. If you do not agree, do not use the Service.
1. Accounts and Workspaces
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your credentials. A workspace (tenant) may include multiple users; the workspace owner is responsible for managing access and ensuring all users comply with these Terms.
2. Acceptable Use
You agree not to:
- Use the Service to violate any law or third-party rights.
- Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its underlying infrastructure.
- Reverse engineer, scrape, or copy any part of the Service except as expressly permitted.
- Upload malicious code, spam, or content that infringes on the rights of others.
3. Your Data
You retain ownership of all data you submit to the Service (“Customer Data”). You grant Sprue a limited license to host, process, and display Customer Data solely to operate and improve the Service. You are responsible for the lawfulness of the Customer Data and for obtaining any required consents from your end users.
4. Subscriptions and Billing
Paid plans are billed in advance on a recurring basis through our payment processor. Fees are non-refundable except where required by law. We may change pricing with reasonable notice; continued use after the change constitutes acceptance of the new pricing.
5. Service Availability
We work to keep the Service available and reliable but do not guarantee uninterrupted operation. The Service may be temporarily unavailable due to maintenance, updates, or causes beyond our reasonable control.
6. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to Sprue, other users, or third parties. Upon termination, your right to access the Service ends; we will make Customer Data available for export for a reasonable period unless prohibited by law.
7. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You use the Service at your own risk.
8. Limitation of Liability
To the maximum extent permitted by law, Sprue and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim related to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.
9. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice through the Service or by email. Continued use of the Service after changes take effect means you accept the updated Terms.
